1. Definitions
  • "Platform" refers to Taskmate ERP
  • "User" means any individual or entity accessing or using the Platform
  • "Services" refers to accounting, inventory, reporting, and related ERP functionalities provided through Taskmate ERP
2. Acceptance of Terms
By accessing, registering, or using the Platform, the User:
  • Agrees to be legally bound by these Terms
  • Confirms that they are competent to enter into a binding agreement
  • Accepts all risks associated with the use of the Platform
If the User does not agree, they must discontinue use immediately.
3. Nature and Scope of Services
The Platform is a technology tool designed to assist in business operations, including accounting and inventory management.
The User expressly acknowledges that:
  • The Platform does not constitute professional accounting, tax, financial, or legal advice
  • Outputs generated are system-driven computations based on user inputs and configurations
4. Data Input and System Dependency
The accuracy of outputs generated by the Platform is dependent upon:
  • Accuracy and completeness of data entered by the User
  • Configuration settings, including but not limited to tax rates, ledger mappings, and pricing rules
  • Timely and correct recording of transactions
The Platform shall not independently verify the correctness of user-provided data.
5. Disclaimer of Accuracy
While reasonable efforts are made to ensure system integrity and validation, the Platform does not warrant or guarantee the accuracy, completeness, or reliability of any reports, calculations, or outputs. Errors may arise due to software defects, configuration inconsistencies, data entry inaccuracies, or system limitations.
The User agrees that all outputs must be independently verified prior to reliance.
6. User Responsibility and Due Diligence
The User shall be solely responsible for:
  • Verifying all financial and operational reports generated by the Platform
  • Conducting periodic reconciliations (bank, ledger, tax)
  • Maintaining independent records and backups
  • Seeking professional advice where required
7. Limitation of Liability
To the maximum extent permitted by applicable law, the Platform and its owners, developers, affiliates, and licensors shall not be liable for any direct, indirect, incidental, consequential, or special damages; financial losses; or tax liabilities arising out of or in connection with use or inability to use the Platform, reliance on reports or outputs generated, or errors and omissions in data or calculations.
8. Audit Trail Legal Clause
The Platform maintains an audit trail of key transactions, including creation, modification, and deletion of records where applicable. The User acknowledges that:
  • Audit logs are system-generated records intended for traceability
  • They may not capture all external or offline activities
  • They should not be treated as a sole source of forensic or legal evidence
  • The Platform does not guarantee that audit logs are error-free or tamper-proof under all circumstances
9. GST Compliance Disclaimer
The Platform provides GST-related features including tax calculation, invoice generation, and reports. The User acknowledges that:
  • GST computations are based on configurations and data entered by the User
  • Tax laws are subject to change and interpretation
  • The Platform does not guarantee accuracy in all GST scenarios
  • Final responsibility for GST compliance rests entirely with the User
10. Warranty Disclaimer
The Platform is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express or implied, including but not limited to accuracy, reliability, fitness for a particular purpose, or non-infringement.
11. Data Backup and Retention
The User is solely responsible for maintaining periodic backups of all data, ensuring integrity of stored records, and safeguarding access credentials. The Platform shall not be liable for any data loss or corruption.
12. Indemnification
The User agrees to indemnify and hold harmless the Platform and its affiliates from any claims, damages, liabilities, or expenses arising from misuse of the Platform, violation of these Terms, or reliance on inaccurate or unverified outputs.
13. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising shall be subject to the exclusive jurisdiction of courts located in Chennai, Tamil Nadu.
These Terms constitute the entire agreement between the User and the Platform. If any provision is held invalid, the remaining provisions continue in full force and effect.
